TERMS AND CONDITIONS OF SALE
"Buyer" means the individual or organisation who buys or agrees to buy the Goods from the Seller.
"Consumer" shall have the meaning ascribed in section 12 of the Unfair Contract Terms Act 1977.
"Contract" means the contract between the Seller and the Buyer for the sale and purchase of Goods incorporating these Terms and Conditions.
"Goods" means the articles that the Buyer agrees to buy from the Seller.
“Seller" means down-light Covers Direct, 20 Grace O Malley Drive, Howth, Dublin 13, Ireland.
"Terms and Conditions" means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the Seller.
Nothing in these Terms and Conditions shall affect the Buyer’s statutory rights as a Consumer. These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer. Completion of online order shall be deemed conclusive evidence of the Buyer’s acceptance of these Terms and Conditions.
RIGHTS OF SELLER
The Seller reserves the right to adjust the price and specification of any item on the Website at its discretion. The Seller reserves the right to withdraw any goods from the Website at any time. The Seller shall not be liable to anyone for withdrawing any Goods from the Website or for refusing to process an order.
All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions and are subject to acceptance by the Seller. The Seller may choose not to accept an order for any reason. Where the Goods ordered by the Buyer are not available from stock the Buyer shall be notified and given the option to either wait until the Goods are available from stock or cancel the order and receive a full refund within 30 days.
PLACING AN ORDER
Credit card purchase
When placing your order using the credit card payment option, you choose the quantity of the goods you wish to purchase. The total purchase price, including VAT and delivery charges (if applicable) will be displayed in the Buyer’s shopping cart prior to confirming the order. You will then be asked for your credit card details and when this is verified your order will be submitted to down-light Covers Direct. On receipt of payment and if requested by the customer Downlight Covers Direct will issue you with an invoice / receipt of payment via e-mail stating the amount of units, total cost charged to your card inclusive of delivery if applicable. Delivery of goods can be up to 5 working days from acceptance of order in Ireland and up to 10 working days for orders to the United Kingdom and should there be any change a member of our sales team will contact you to arrange an alternative date. The delivery company will be issued with your contact details should they need to contact you directly. You will receive confirmation of dispatch date via e-mail. Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery.

Postal Payments by cheque, postal order or money order
When using this payment option, the buyer must first confirm the required amount of goods by e mail. A purchase order will then be returned by e mail stating cost of purchase with delivery costs. Payment must then be forwarded to the buyers business address (included in return e mail). Orders will be processed on receipt of payment and will normally be delivered to the buyer specified address within 3 working days. If any unforeseen delay occurs, the seller will inform the buyer at the earliest possible opportunity.
ORDER CANCELLATIONS AND RETURNS POLICY
Under the Ireland / United Kingdom’s Distance Selling Regulations you have the right to cancel your order for items, purchased from “Downlight Covers Direct” and receive a full refund. Order cancellations must be made by e-mail to firstname.lastname@example.org. Due to our quick turn over there may be a chance your order may have already been processed and if this is the case it is your responsibility to return the item fully packaged and in the condition it was received. The cost of this return will be borne by you the purchaser. Where returned Goods are found to be damaged and the damage is not the fault of the seller, the Buyer will be liable for the cost of remedying such damage. Where goods are un-damaged and as described, there will be no obligation on the seller to issue a refund or part refund, however, in certain circumstances, at the discretion of the seller, a return of goods with partial refund issued to the buyer may be considered by the seller as a good-will gesture. Terms and conditions of these returns will be as follows.
· Any return requests must be made within 24 hours of receipt of delivery by the buyer.
· In the event of an agreement by the seller to accept a return of goods under the following conditions, all goods must be returned to the seller within 5 working days in Ireland and 7 working days UK.
· Returned goods are the responsibility of the buyer until they reach the seller.
· As delivery costs are subsidised, there will be a deduction from the total cost amount of the actual cost of delivery to the seller.
· There will also be a re-stocking charge of 15% of invoice cost, less original charged delivery cost.
· The buyer will be responsible for returning the goods.
· Goods will be checked for damage on return.
· A refund will be issued to the buyer for all undamaged units only, with a deduction of charged cost per unit for each damaged units.
· Total refund will be as follows. Total original invoiced amount less actual delivery cost, less 15% of total cost of order excluding original charged delivery cost, less charged cost per unit for each damaged unit returned.
· For your own protection, we recommend that you send the parcel using a delivery service that insures you for the value of the goods.
· Any refunds will be made in the form of reversal of original payment method.
DAMAGED OR FAULTY ITEMS
It is the policy of Downlight Covers Direct to ensure all goods are checked and intact before dispatch. The buyer will be responsible for checking the condition of packages on receipt of delivery. If any of the received packages is/are faulty, the buyer must check the contents of the package for any damage. If, on inspection, it is discovered that any of the received goods are damaged the buyer must report this damage to the seller within 24 hours. You have 7 days from receipt of the faulty item to return it to us. Contact details are available on the website. Where a claim of defect or damage is made, the goods shall be returned by the Buyer to the Seller. The Buyer shall be entitled to a full refund (including delivery costs) plus any return postal charges if the goods are in fact defective. Goods must be returned with the invoice/delivery note obtained from the Seller on the package. Where returned Goods are found to be damaged due to the Buyer’s fault the Buyer will be liable for the cost of remedying such damage.
LIMITATION OF LIABILITY
Except as may be implied by law where the Buyer is dealing as a Consumer, in the event of any breach of these Terms and Conditions by the Seller the remedies of the Buyer shall be limited to damages which shall in no circumstances exceed the Price of the Goods and the Seller shall under no circumstances be liable for any indirect, incidental or consequential loss or damage whatever.
No waiver by the Seller (whether express or implied) in enforcing any of its rights under this contract shall prejudice its rights to do so in the future.
CHANGES TO TERMS AND CONDITIONS
The Seller shall be entitled to alter these Terms and Conditions at any time. This right shall not affect the existing Terms and Conditions accepted by the Buyer upon making a purchase.
